The 2021 DuPont Nutrition & Biosciences merger

On 1 February 2021, IFF completed the merger of its business with DuPont's Nutrition & Biosciences division. The transaction was structured as a reverse Morris Trust deal valued at approximately 26.2 billion USD, with DuPont shareholders receiving 55 percent of the combined company and existing IFF shareholders retaining 45 percent. The combined group became one of the largest ingredients and biosciences platforms in the world.

The financial structure carried significant debt, which weighed on the balance sheet through 2022 to 2024.
